TERMS AND CONDITIONS OF SALE 1./ GENERAL All quotations issued and orders accepted are subject to the following conditions of sale. Any other conditions, warranties or liabilities, expressed or implied are excluded so far as such exclusion is permitted under the provisions of the supply of goods /services (Implied Terms Act 1973.) 2/ PRICES Quotations and prices are subject to withdrawal or alteration at any time unless stated in writing. All prices charged will be those ruling at the date of dispatch and exclude installation. All prices exclude Value Added Taxation which will be charged at the current rate. 3/ DESCRIPTION AND PATENTS Description, illustrations and other technical literature issued by the Company and its suppliers and sub-contractors are for guidance only and do not constitute a sale by description. The company cannot accept any liability in respect of the performance of goods stated by manufacturers which is passed on in good faith. All drawings remain the copyright and property of the company unless separately paid for and must not reproduced or copied or disclosed to a third party without the written permission of the company. The customer shall indemnify the company against all damages, penalties and costs as a result of work completed in accordance with the customers instructions that involve an infringement of a registered patent or design. 4/ PAYMENT Where no account exists goods will be supplied upon payment of a proforma invoice. Terms of payment for account customers are strictly net within thirty days of the date of the delivery. New accounts will be opened on receipt of two satisfactory trade references and bankers’ reference. 5/ DELIVERY Delivery dates are given in good faith and do not form a contractual obligation. Although every effort is made to ensure that delivery dates are maintained, the company shall not be liable for any damages or loss directly or indirectly from delay in delivery. 6/ CANCELLATION In the event of cancellation, or goods being returned by agreement of the company, any administration charge of 20% will be made together with any other costs incurred by the company by way of the order being cancelled. 7/ THIRD PARTY LIABILITY The company shall not be responsible for damage, injury or loss of any kind whatsoever to any property or persons howsoever arising from the use of the equipment to otherwise in connection with the erection or installation of the same. Nor shall the company be responsible for any additional risks which the customers insurance company may consider to have been undertaken by reason of the delivery, installation or use of the equipment supplied. 8/ LEGAL Construction The contract shall in all respects be construed and operate as an English contract and in conformity with the English law.
